CLUB O REWARDS PROGRAM TERMS AND CONDITIONS

These Club O Rewards Program Terms and Conditions (“Terms”) govern your participation in Overstock's Club O Rewards Program (the “Program”). The Program benefits are issued and administered by  Overstock.com, Inc. (“Overstock”, “we”, “us” and “our”). Club O Rewards not used as specified herein will expire. By enrolling in the Program, you agree to comply with these Terms. These Terms are subject to Overstock's Site Terms and Conditions  and  Privacy Policy , which are incorporated herein.

All benefits offered under the Program are at our sole discretion. We reserve the right to limit, modify, alter, waive, or cancel the Program and/or benefits offered under the Program and/or benefits offered under the Program at any time, prospectively or retroactively, with or without notice, even though such changes may affect your Club O Rewards already earned.

MEMBERSHIP TYPES

Overstock offers one type of Membership: Club O Rewards. The benefits of the Club O Rewards membership are described below.

Club O Rewards

• Receive 5% in Club O Rewards* on every eligible purchase. Club O Rewards may be used as a form of payment for future eligible purchases. From time to time, Overstock may run special promotions which permit you to earn additional Club O Rewards.
• Free standard shipping within the continental United States on all orders (excludes shipments to Alaska, Hawaii, Puerto Rico and international orders).
• Access to Overstock's exclusive Club O Rewards shopping events.
• Club O Rewards earned through your Club O Rewards Membership may be used and combined with other discounts and coupons, including affiliate coupons for eligible purchases.
• Club O Free Returns are available on select products which are marked as eligible on the Overstock.com website when you elect a refund in the form of in-store credit. This offer is available within the continental United States (excludes shipments to Alaska, Hawaii, Puerto Rico, and international orders), and is limited to three returns per month. Overstock.com reserves the right to extend, change, or cancel the program at any time without notice. In order to qualify for this offer, the product must qualify for a return under Overstock's return policies, and customer must have a valid Club O membership at the time the return label request is initiated.
• Price match guarantee is available to Club O Rewards members, subject to the terms outlined herein. Within 7 days post purchase, Overstock will offer price matching for the pre-tax price (including shipping fees for standard delivery, if applicable) for identical, immediately available products sold and shipped by these major online retailers: Amazon, Bed, Bath, & Beyond, Hayneedle, Home Depot, Jet, Staples, Target, Walmart, and Wayfair. The price match guarantee is limited to 3 items per month. To submit a request for price matching, use the self-service form in your My Account page after you place your order. You must submit the URL and a screen shot of the product page from an approved retailer.

The price match guarantee does not cover:

• • The following categories of products: small kitchen appliances, large appliances, or electronics
  • The online prices of retailers not listed above
  • Products shipped from or sold by third party sellers on websites (e.g. Amazon Marketplace, Walmart Marketplace)
  • Service prices (e.g. delivery or installation) offered by the retailers listed above
  • Financing offers offered by the retailers listed above
  • Prices offered by the retailers listed above during the period from Thanksgiving Day to Cyber Monday *Only on Amazon Prime day, Overstock will honor the price match guarantee for exact matches for Amazon Prime day.
  • Pricing only available to select groups of customers including loyalty offers and other promotional discounts, including but not limited to:
    • Discounts applied in checkout
    • Auction prices or those requiring memberships
    • Bundle offers, rebates, coupons, mail-in offers, or offers that include financing
    • Prices that require a minimum quantity purchase
    • Items that other retailers have listed as clearance, close out, liquidation, limited quantity offers, or limited-time-only sales (including special hours or flash sales)
    • Damaged, used, or refurbished items
    • Prices as a result of pickup discounts
    • Pre-order or backorder prices

If you are a Club O member and you find a lower price on Overstock’s website during the 7 days post purchase, we will price match to the lower price.

• To submit a request for a price match on Overstock’s website, please contact 1-800-THE-BIG-O.
• Price matches for Overstock’s website will not count toward your monthly price matching limit.

CONDITIONS

• You must be 18 years of age or older to obtain a Membership.
• Your participation in the Program is revocable by us at any time, at our sole discretion.
• You may have only one Membership per email account.
• Except as otherwise outlined in these Terms, for any benefit to apply, your Membership must be active at the time of purchase. You will not be reimbursed retroactively for purchases made while your Membership is inactive or expired.
• Your Membership is non-transferable.
• Club O Rewards are not earned on purchases paid with Overstock gift cards, in-store credits or on purchases made using Club O Rewards.
• Club O Rewards are earned when a member purchases an Overstock gift card.

ELIGIBLE PURCHASES
You accrue Club O Rewards under the Program for all purchases made through Overstock, except: international orders, donations and Memberships. In addition, transactions generated within the Cars, Insurance or any Tab other than the Shopping Tab are excluded.

CLUB O REWARDS
Club O Rewards accrued under the Program are credits earned on every eligible purchase and are deposited into your Rewards Bank after the item you purchased has shipped. Club O Rewards may be used to make eligible purchases through Overstock. You may check your available Club O Rewards balance at any time by navigating to your My Account page, clicking the Club O link in the left hand navigation pane, then viewing Rewards Summary.
If you return an item, the Club O Rewards earned pursuant to the Program for that purchase will be deducted from your Rewards Bank. If you lack sufficient Club O Rewards in your Rewards Bank, the Club O Rewards earned on previous purchases will be deducted from your refund on a dollar-for-dollar basis.

ALL CLUB O REWARDS EARNED UNDER THE PROGRAM ARE ONLY ACCESSIBLE AND REDEEMABLE WITH AN ACTIVE MEMBERSHIP.

Club O Reward Types
Earned Rewards: This is a lifetime total of all earned Club O Rewards.
Pending Rewards: These rewards will be redeemable once the order ship confirms. Please allow at least five minutes for your rewards total to update after placing an order. Pending rewards balance may not be accurate if Club O was purchased within the last 2 business days.
Expiring/Promotional Rewards: These rewards are part of your available balance. They will be used first when you apply rewards at checkout.
Redeemed Rewards: These are Club O Rewards that have been spent/redeemed on an Overstock purchase.

EXPIRATION OF CLUB O REWARDS

Club O Rewards
CLUB O REWARDS EARNED UNDER A CLUB O REWARDS MEMBERSHIP EXPIRE 90 DAYS AFTER THE EXPIRATION OF YOUR CLUB O REWARDS MEMBERSHIP. IF YOUR CLUB O REWARDS MEMBERSHIP EXPIRES AND IS NOT RENEWED WITHIN 90 DAYS, ALL CLUB O REWARDS PREVIOUSLY EARNED WILL EXPIRE AND BECOME PERMANENTLY NON-REDEEMABLE.

Non-Club O Rewards (My Rewards)
ANY REWARDS EARNED OUTSIDE OF CLUB O WILL EXPIRE PER THE TERMS OF THE PROMOTION UNDER WHICH THEY WERE EARNED, OR IF YOU UNSUBSCRIBE FROM OVERSTOCK PROMOTIONAL EMAILS. FOR ADDITIONAL INFORMATION SEE THE NON-CLUB O MY REWARDS TERMS AND CONDITIONS AVAILABLE HERE

Club O Rewards for Reviews
CLUB O REWARDS WILL BE ISSUED TO ANY CLUB O MEMBER WHO WRITES A QUALIFIED REVIEW ON AN ELIGIBLE PRODUCT. CLUB O REWARDS WILL BE ISSUED 3-5 BUSINESS DAYS AFTER THE REVIEW HAS BEEN APPROVED.
CLUB O REWARDS ISSUED FOR WRITING A QUALIFIED REVIEW WILL EXPIRE 90 DAYS AFTER ISSUE DATE. WE RESERVE THE RIGHT TO LIMIT, MODIFY, ALTER, WAIVE, OR CANCEL THE PROGRAM AT ANY TIME, PROSPECTIVELY OR RETROACTIVELY, WITH OR WITHOUT NOTICE, EVEN THOUGH SUCH CHANGES MAY AFFECT YOUR CLUB O REWARDS ALREADY EARNED.
REVIEWS MUST BE COMPLETED WITHIN 30 DAYS OF THE REWARDS OFFER OR THE REWARDS OFFER WILL EXPIRE.
THE CLUB O REWARDS FOR REVIEWS PROGRAM IS UNAVAILABLE TO USERS OUTSIDE THE UNITED STATES OF AMERICA.

PROMOTIONAL CLUB O REWARDS
All promotional expiring Club O Rewards will be issued within an hour after checking out with Club O Rewards. Any promotional Club O Rewards will expire as per the terms of the given promotion.
Each Club O Member Account is eligible to participate in one promotional rewards offer every 365 days.

TRANSFER AND CASH VALUE
Club O Rewards are not transferrable, have no cash value, and are not redeemable for cash.

FEE
This is not a credit card of any sort.
The Club O Rewards Membership fee is $19.95. We may change the Club O Rewards Membership fee or run special promotions at any time, but changes will apply only to new or renewed memberships. The Club O Rewards Membership fee is non-refundable, except as set forth herein. We reserve the right to discount or waive the Club O Rewards Membership fee in conjunction with promotions we offer from time to time.

TERM

Club O Rewards
The initial term of your Club O Rewards Membership will commence on the date it is purchased and continue for 1 year, unless terminated. YOUR CLUB O REWARDS MEMBERSHIP WILL AUTOMATICALLY RENEW ON THE ANNUAL ANNIVERSARY OF THE DATE YOU SIGNED UP FOR YOUR CLUB O REWARDS MEMBERSHIP OR ON THE MEMBERSHIP EXPIRE DATE. TO OPT OUT OF THIS AUTOMATIC RENEW FEATURE, GO TO YOUR “MY ACCOUNT” PAGE AND CLICK THE “CLUB O” LINK ON THE LEFT, FROM THE DROP DOWN SELECT “REWARDS SUMMARY” ON THE RIGHT SIDE OF THE PAGE, AND SLIDE AUTO RENEW OPTION TO “OFF”. UNLESS YOU NOTIFY US BEFORE RENEWAL THAT YOU WANT TO CANCEL OR DO NOT WANT YOUR CLUB O REWARDS MEMBERSHIP TO AUTOMATICALLY RENEW, YOU UNDERSTAND AND AGREE THAT YOUR CLUB O REWARDS MEMBERSHIP WILL AUTOMATICALLY RENEW AND YOU AUTHORIZE US TO COLLECT THE THEN-APPLICABLE ANNUAL CLUB O REWARDS MEMBERSHIP FEE USING ANY CREDIT CARD WE HAVE ON RECORD FOR YOU.

PAYMENT
Unless waived as set forth herein, the Club O Rewards Membership fee will be billed to the method of payment that is active in your Overstock account.

MEMBERSHIP CANCELLATION
You have the right to cancel your Membership at any time. No refunds will be given (unless we change the Program; see Changes to Club O below). You can cancel your Membership by (i) calling us at 1-800-THE BIG O (1-800-843-2446) (Members located outside of the U.S. should call 801-947-3100); or (ii) contacting us via e-mail at ClubO@Overstock.com .

DISCLAIMERS; LIMITATION OF LIABILITY
THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. OVERSTOCK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES (“PROVIDERS”) DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT IN ANY WAY RELATED TO THE PROGRAM. PROVIDERS MAKE NO WARRANTY THAT THE (i) PROGRAM WILL MEET YOUR REQUIREMENTS, OR (ii) PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. IN NO EVENT WILL PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED THE PROGRAM, INCLUDING BUT NOT LIMITED TO YOUR USE OR INABILITY TO USE THE PROGRAM OR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR MEMBERSHIP DATA. NOTWITHSTANDING ANYTHING TO THE CONTRARY, PROVIDERS’ TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WILL NOT EXCEED THE LAST ANNUAL MEMBERSHIP FEE YOU PAID. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF MAY NOT APPLY TO YOU.

GOVERNING LAW
These Terms, and the respective rights and obligations of the parties hereunder, shall be governed by, and construed in accordance with, the laws of the State of Utah, without regard to conflict of law principles.

BINDING ARBITRATION
Any controversy or claim arising out of or relating to these Terms (including any breach thereof) or the Program shall be settled by confidential arbitration in Salt Lake City, Utah and administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated with any claim or controversy of any other party. The foregoing shall not preclude Overstock from seeking any injunctive relief in State or Federal courts.

CHANGES TO CLUB O REWARDS
We may make changes to any or all benefits available to you under the Program at any time, with or without notice. In the event of any change to the Program, we will, in our sole discretion, either maintain your Membership with your existing benefits until expiration of your current term or refund you a pro-rata portion of your paid Membership fee for the remaining full months of your current Membership term.
*For Club O Rewards earned through the Program, Club O Rewards will be calculated on the net purchase amount (after application of discounts and coupons and excluding tax and shipping) of every eligible purchase.

Club O Free Trial
Overstock sometimes offers customers free trial or other promotional memberships. Such memberships are subject to these Terms and Conditions except as otherwise stated in the promotional offers. Trial memberships will be converted automatically to paid memberships at the end of the trial period and members will be charged the full membership price at that time. Trial memberships may be cancelled before the end of the trial period by calling Customer Service or by setting the auto-renew switch to the “off” position.
